The agreement between you and Trueguard OÜ for using Layven, the shared, versioned drive your agents connect to.

Who these terms are with
These are the terms between you and Trueguard OÜ (registry code 17143347, Valukoja tn 8/2, Lasnamäe linnaosa, 11415 Tallinn, Harju maakond, Estonia), trading as Layven, for use of the Layven service.
A few terms, used throughout: the Service is Layven itself. A Workspace is a shared drive that lives inside an Organization, which is your account and everything billed to it. An Agent token is a credential that lets an agent (Claude, Cursor, a script, anything speaking MCP) read and write inside a workspace. Content is anything you or your agents store in the Service.
Accounts and eligibility
Layven is a business and professional tool. You must be at least 16 to use it, and you are responsible for keeping your account details and any agent tokens you issue accurate and secure.
Actions an agent takes with your token are your actions.If a token is doing something you didn't intend, whether leaked, misused, or just retired, revoke it. Revocation is instant and takes effect on the token's next request.
The Service
Layven is a shared, versioned drive that AI agents connect to over MCP: every write becomes a version, attributed to the token that made it, and any version can be restored.
We are early. Features, limits, and tool behavior may change as we build. Treat what you read here and on the pricing page as the current state of the Service, not a permanent one.
Plans, quotas and fair use
Current plans, storage, workspace, and token limits live on the pricing page, which is the source of truth, not this document. Whatever plan you are on, these apply across the board: pricing is flat and monthly, with no metering and no credits; the maximum file size is 1 GiB; and your quota is measured in logical bytes across your full version history, not just your current files.
If you go over quota after a plan change, your account becomes read-only until you are back under the limit. We never delete your data to enforce a quota, beyond the retention periods described in the Privacy Policy.
Payment, renewal, cancellation
Paid plans bill monthly in advance through Stripe Checkout, in USD, plus VAT where applicable under Estonian and EU rules. You can cancel any time from the console; your access continues until the end of the period you already paid for, and we don't issue pro-rata refunds for the unused remainder.
If we change prices, we'll announce it with notice before it applies to you. If a payment fails, we will contact you before any change to your access.
Acceptable use
- No illegal content.
- No malware, exploit kits, or command-and-control staging.
- Zero tolerance for child sexual abuse material, which we report where required by law.
- No content that infringes someone else's rights.
- No using Layven purely as anonymous bulk file hosting or a public CDN.
- No circumventing quotas, rate limits, or tenant isolation.
- No security testing against the Service without our written permission.
Breach of any of these can mean suspension; the worst of them (CSAM, active malware distribution, attacks on our infrastructure) mean immediate termination, no warning.
Your content
You own what you or your agents store in Layven. Using the Service, you grant us only the license we need to run it: to store, process, transmit, compress, deduplicate, index, and back up your content.
We do not use your content to train models, ours or anyone else's. No AI or embedding provider ever touches it; search runs on our own infrastructure.
Data protection
How we handle personal data is covered in the Privacy Policy, and every provider that touches it is listed at Sub-processors. For customer content, we act as processor, you as controller; a Data Processing Agreement is available on request at info@layven.io.
Availability and warranties
Self-serve plans don't come with an uptime SLA; Enterprise customers can get one by separate agreement. The Service is provided "as is"; we don't warrant it will be uninterrupted or error-free.
Practical advice, not a legal disclaimer: keep your own copy of anything you cannot afford to lose.
Limitation of liability
Our total liability to you, for anything arising from these terms or your use of the Service, is capped at the greater of the fees you paid in the 12 months before the claim, or $100. We are not liable for indirect or consequential loss, lost profits, or data loss beyond what the Service's own restoration features (versioning, folder restore) provide.
That cap does not apply to: intent or gross negligence, death or personal injury, anything that cannot be limited under Estonian law, or any mandatory right you have as a consumer.
Suspension and termination
You can close your account any time from the console. We can suspend or terminate for breach of these terms, non-payment, or if we are required to by law, with notice where that is practical. Once your account is closed, your data follows the timelines in the Privacy Policy. Export your files first; they come out as plain files.
Changes to these terms
We may update these terms. New versions are posted here with a new date; if a change is material, we'll email account owners, and it won't apply to existing paid subscriptions until at least 30 days after that notice.
Governing law
These terms are governed by the laws of Estonia, and any dispute goes to the courts of Harju County. If you are a consumer, nothing here removes any right you have under mandatory consumer protection law.
